Position Summary:
Steinway Musical Instruments, Inc., a global musical instruments manufacturer and retailer, is seeking an experienced securities and corporate lawyer to join our legal team. The ideal candidate is a high achiever who is self-motivated and has a strong sense of accountability, who can independently oversee securities matters, SEC filings, investor relations, public company governance and other corporate matters. This role will report directly to the Executive Vice President, Chief Legal Officer.
Main Responsibilities:
• Oversee all securities and public company governance matters
• Responsible for compliance with the Securities and Exchange Commission and NYSE rules and regulations, including partnering with finance and accounting teams to manage SEC filings such as Forms 10-K, 10-Q, 8-K, proxy statements, Forms S-8, and Section 16 filings
• Advise management on securities law compliance and disclosure matters, including overseeing the drafting and review of earnings and other press releases, presentations, significant internal communications and other announcements; developing and administering relevant policies and procedures
• Act as liaison between the company and the public, maintain and develop a positive public image for the company
• Serve as Assistant Secretary, leading and overseeing essential Board-related processes, policies and matters, including the development of Board and committee agendas, distribution of meeting materials, preparation of minutes and coordination of the annual shareholders’ meeting
• Assist on shareholder and investor relations and coordinating with proxy advisory firms
• Advise and help oversee employee equity compensation matters, including incentive plans and programs, equity administration and related public company disclosure
• Facilitate financial analyst meetings, including creating and reviewing agendas, and overseeing on-going communications and interactions with analysts
• Support and advise on the Company’s ESG strategy development and public disclosures
• Monitor and keep senior management and Board members apprised of corporate governance trends and developments and public company best practices
• Provide legal support for corporate transactions, including securities offerings, financings, investments and other strategic transactions
• Generally support the Chief Legal Officer as needed in managing legal operations of a global company, including supporting corporate and legal transactions and projects as they arise in all major departments - finance and tax, product development, technology, human resources, retail and sales, marketing and manufacturing
Qualifications, Education and Experience:
• Strong academics and J.D. from a competitive ABA accredited law school
• A minimum of 7 years of professional experience, ideally a combination of time at a top tier law firm as well as in-house experience with a focus on securities and public company disclosure work
• Admitted, active and in good standing with the New York State bar
• Excellent written and verbal communication skills
• Excellent interpersonal and networking skills and the ability to work with board members, investors and executives across various business departments
• Familiarity with financial statements and accounting literature and comfort discussing underlying financial statement concepts, including accounting and tax; extensive ‘34 Act drafting experience
• General understanding of legal technology used to support a corporate governance and securities law practice, including familiarity with board portals, securities filing software, entity and document management, and research resources
• Experience with shareholder relations and proxy advisory firms
• Detail oriented and hardworking; superior analytical and organizational abilities
• Ability to perform duties under minimal supervision while exercising discretion and independent, sound judgment
• Proficiency with MS Office (Outlook, Word, Excel, PowerPoint)
